Compliance Consultation and Reporting System

Chiyoda Group has established the Compliance Consultation and Reporting System to help prevent, detect at an early stage, and correct compliance violations, including violations of laws and regulations, internal rules, harassment, and other misconduct, as well as whistleblowing reports protected under the Whistleblower Protection Act.
This system may be used even when it is not clear whether a compliance violation has actually occurred.

Using the Compliance Consultation and Reporting System

Before using the system, please read the following information.

Scope of the Compliance Consultation and Reporting System

This system is designed to address consultations and reports regarding actual or suspected compliance violations by our Group or its officers and employees. 'Compliance violations' include not only violations of domestic or international laws and regulations, international agreements, and internal regulations, but also conduct that lacks social acceptability in the course of business operations, such as human rights violations, harassment, corruption, and information security incidents. This system also covers matters subject to the Whistleblower Protection Act.

Consultations and reports covered by this system include, for example, actual or suspected occurrences of the following:

  • Violation of laws, regulations, internal rules, or codes of conduct
  • Fraudulent or improper conduct (e.g. accounting fraud, bribery, and other forms of corruption)
  • Harassment (e.g. workplace bullying, sexual harassment and similar misconduct)
  • Conduct showing lack of respect for human rights
  • Issues related to information security or personal data protection
  • Unfair treatment in outsourcing arrangements or business relationshipsbusiness

Those who can use the Consulting and Reporting System

This system is available to:

  • Individuals working for any company within the Chiyoda Group (including officers, regular employees, permanent or contract employees and temporary/agency workers)
  • Family members of the above individuals
  • Former employees of any company within the Chiyoda Group
  • Applicants seeking employment with any company within the Chiyoda Group
  • Students participating in internship programs with any company within the Chiyoda Group
  • Business partners of the Chiyoda Group, including freelancers (specified entrusted business operators), and their related personnel

Where a consultation or report qualifies as a protected whistleblowing report under the Whistleblower Protection Act, the consulting or reporting person will be entitled to protection under the Act.

Protection of Consulting and Reporting Personnels

The Chiyoda Group will ensure the protection of consulting and reporting personnels under this system and will take the following measures as follows:

  • Information that could identify the consulting or reporting personnel will not be disclosed to anyone other than the personnel responsible for handling consultations and reports, unless the consulting or reporting personnel has given prior consent or there is another legitimate reason to do so.
  • Information obtained through an investigations will not be shared beyond the scope necessary for investigation and response.
  • No actions will be taken to identify the consulting or reporting personnel, nor will we engage in any conduct that interferes with the making of a consultation or report.
  • No disadvantageous treatment will be imposed on the consulting or reporting personnel on the grounds that they have made a consultation or report, including whistleblowing report under the Whistleblower Protection Act.

Remarks:

  • Anonymous contact is available. Consultation/reporting may be made with a name, while the report to Chiyoda Corporation may be made anonymously. However it may be difficult for the lawyer to resolve the issue without knowing the consulting reporting personnel's company he/she belongs to and the name.
  • Even if the lawyer knows the consulting or reporting personnel's name, the name will not be disclosed to Chiyoda Group without that personnel's consent.

Handling of Consultations and Reports

All consultations and reports received through this system will be handled in a timely and appropriate manner by the Compliance Section of the Legal Department of Chiyoda Corporation or the responsible department of each Chiyoda Group company.
In addition, the reporting or consulting personnel will, to the extent practicable, provided with feedback regarding the results of the investigation and any measures taken by the Chiyoda Group, including disciplinary actions and measures to prevent recurrence.
Where a consultation or report is considered to indicate a possible compliance violation, the matter will also be reported to the Chiyoda Group Chief Compliance Officer (CCO) and the full-time Audit and Supervisory Committee Member.
